This Agreement contains the complete terms and conditions that apply to an individual's or entity's participation in Sensasian's Affiliate Program (the "Program"). As used in this Agreement, "We" means Sensasian.com Sdn Bhd, and "You" means the applicant. "Site" means a World Wide Web site and, depending on the context, refers either to Sensasian's site located at the URL www.sensasian.com, or to any site that you will link our site to (and which you will identify in your Program application). "Products" means all merchandise including but not limited to music discs (audio compact discs), video discs (video compact discs), DVD-Video discs, DVD-Audio discs and any future merchandise categories available at Sensasian's webite. "Link" means graphical buttons, banners, icons, text links, and other items provided by Sensasian to be displayed on your site to be provided by us from time to time, which links and redirects the traffic to our homepage at http://sensasian.com.

 

1.Enrollment in the Program

To begin the enrollment process, you will submit a complete Program application via our site. We will evaluate your application in good faith and notify you of your acceptance or rejection. We may reject your application if we determine (in our sole discretion) that your site is unsuitable for the Program. Unsuitable sites include those that:

 

• Promote sexually explicit materials
• Promote violence
• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Promote illegal activities
• Include "sensasian" or variations or misspellings thereof in their domain names
• Otherwise violate intellectual property rights
  
  

Should your application be rejected, you are welcome to reapply to the Program at any time. Please note that if we accept your application and your site is thereafter determined in our sole discretion to be unsuitable for the Program, we reserve our rights to terminate this Agreement.

 

2.Links on Your Site

Once you have been notified that your site has been accepted into the Program, you may provide Links on your site to our site in a format to be approved by us. We will provide you with the guidelines and graphical artwork to use in linking to us.

3.Order Processing

We will process Product orders placed by customers who follow Links from your site to our site. We reserve the right to reject orders that do not comply with any requirements that we periodically may establish. We will be responsible for all aspects of order processing and fulfillment. Among other things, we will prepare order forms, process payments, cancellations, and returns, and handle customer service. We will track sales made to customers who purchase Products using Links from your web site to our web site and will make available to you reports summarising this sales activity. To permit accurate tracking, reporting, and fee accrual, you must ensure that the special links between your site and our site are properly formatted.

We will pay you sales commission on all Product sales from customers referred from your site. For a product sale to generate sales commission, the customer must follow a Link from your site to our site; purchase the Product using our automated ordering system; accept delivery of the product at the shipping destination; and remit full payment to us. We will not, however, pay sales commission on any Products that are added to a customer's Shopping Cart after the customer has re-entered the site (other than through a Link from your site), even if the customer has previously followed a link from your site to our site. The Program is intended for commercial use only, and you may not purchase Products through the Program for your own use. Such purchases may result (in our sole discretion) in the withholding of commissions or the termination of this Agreement.

You will earn sales commission based on the sale price of Products, according to fee schedules to be established by us. "Sale price" means the sale price listed in our catalog (under the "our price" column) and excludes costs for shipping, handling, taxes, gift-wrapping, service charges, credit card processing fees, and bad debt. The current commission schedule is 5% of the sale price, on the day of order, for sales of all Products.

We will pay you sales commission on a quarterly basis. Approximately 30 days following the end of each calendar quarter, we will send you a cheque for the sales commission earned on our sales of Products that were shipped during that quarter, less any taxes that we are required by law to withhold. However, if the sales commission payable to you for any calendar quarter is less than $25.00, they will be witheld until the total amount due is at least $25.00 until this Agreement is terminated or earlier if this Agreement is terminated. If a Product that generated sales commission is returned by the customer, we will deduct the corresponding sales commission from your next quarterly payment. If there is no subsequent payment, we will send you a bill for the sales commission.

 

Customers who buy products through this Program will be deemed to be customers of Sensasian. Accordingly, all Sensasian's rules, policies, and operating procedures concerning customer orders, customer service, and product sales will apply to those customers. We may change our policies and operating procedures at any time. For example, we will determine the prices to be charged for products sold under this Program in accordance with our own pricing policies. Product prices and availability may vary from time to time. Because price changes may affect Products that you already have listed on your site, you may not include price information in your Product descriptions. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular product.

We will make available to you a small graphic image that identifies your site as a Program participant. You must display this logo or the phrase "In association with Sensasian" somewhere on your site.
